Governing Law & Forum

These Terms are governed by the laws of the Islamic Republic of Pakistan. Subject to the mandatory consumer rights in Section 14, the courts of Karachi, Sindh, Pakistan have exclusive jurisdiction. Nothing in these Terms removes consumer rights that cannot be waived under a user's local law.

Please Read Carefully

These Terms of Service ("Terms") are a binding agreement between you and Botvee. By creating an account, starting a free trial, or using the Service, you accept these Terms. If you do not agree, do not use the Service.

Business users (DPA). If you use the Service to process the personal data of individuals in the EU, UK, or Switzerland, our Data Processing Agreement forms part of these Terms.

Definitions

  • "Botvee", "we", "us" — BOTVEE (PRIVATE) LIMITED.
  • "Customer", "you" — the individual or entity that registers for or uses the Service. If you act for an organisation, you confirm you are authorised to bind it.
  • "Service" — the Botvee AI-agent SaaS platform, its features, APIs, integrations, dashboard, and support at botvee.ai.
  • "End-User" — an individual who interacts with an AI agent you deploy using the Service.
  • "Sub-Processor" — a third-party provider we use to deliver the Service (see Subprocessors).
  • "AUP" — our Acceptable Use Policy, incorporated by reference.

The Service

Botvee is a subscription-based SaaS platform for creating and deploying AI agents for customer support, lead capture, booking, and related automation across channels such as a website widget, WhatsApp, Telegram, Instagram, and Messenger, and via integrations such as WordPress, Shopify, and Google. Features available to you depend on your plan and on which integrations you enable. We may improve, modify, or discontinue features from time to time.

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service, or any AI-generated output, will be uninterrupted, error-free, or fit for any particular purpose, except as expressly stated in Section 12 and to the extent required by law.

Eligibility and Registration

  • You must be at least 18 years old to register for or administer an account on your own. A person aged 14–17 may hold one only with verified parental or guardian consent, and nobody under 14 may hold one at all — see Section 9 of the Privacy Policy for how consent is given and withdrawn.
  • You must use the Service only for lawful, legitimate purposes and in compliance with the AUP.
  • You are responsible for the accuracy of your account information and for keeping it current.

Account Security

  • Keep your credentials confidential; do not share login details.
  • Enable two-factor authentication where available.
  • Notify support@botvee.ai promptly if you suspect unauthorised access.
  • You are responsible for activity under your account, except to the extent caused by Botvee's proven failure and except where responsibility cannot be excluded by law. Botvee is not liable for losses arising from unauthorised access caused by your negligence, weak credentials, credential sharing, or failure to use available security features.

Subscriptions, Plans, Billing, and Taxes

5.1 Plans and pricing

The current plans, their limits, and their prices — including Plus tiers, add-ons, and custom pricing — are the ones shown at botvee.ai/pricing and in your dashboard, and may change under Section 5.5. We do not restate them here, so that this page can never quote a price we are no longer charging.

A 7-day free trial is available and requires no payment. Paid plans are offered monthly or annually; annual plans are billed once in advance for a 12-month term at a discount versus monthly. Add-ons — extra AI agents, extra messages, team seats, and storage — can be bought without changing plan. Custom (Enterprise) pricing is quoted from a configuration you choose and may include separately agreed terms such as a service-level commitment. Prices are exclusive of taxes unless stated. Some channels and integrations are rolled out progressively; the features available to you are those shown in your dashboard for your plan.

5.2 Billing — who charges you, and when

Botvee is paid for through one of two billing routes. Which one applies to you is not a choice you make at checkout — it is decided by whether your Botvee account has a connected, active Shopify store:

  • No connected Shopify store → Stripe. This is the ordinary route for anyone who signs up on botvee.ai, or who uses the widget, WordPress, WhatsApp, Telegram, or any other channel. You pay by card at checkout, Stripe processes it, and Botvee never sees or stores your full card number, CVV, or bank details. A receipt is emailed after each charge.
  • A connected, active Shopify store → Shopify. If you installed the Botvee app from the Shopify App Store and that store is linked to your account, Shopify's own app-billing system charges you. This is a requirement of the Shopify App Store, not a preference of ours. You approve the charge inside your Shopify admin, it is collected with your normal Shopify bill instead of as a separate card payment, and Shopify's terms apply to that payment alongside these Terms. This applies even if you start the purchase on botvee.ai — the checkout will recognise the connected store and hand you to Shopify to approve, rather than taking a card. It is not possible to be billed twice for one subscription.

The plans, limits, and prices are identical on both routes, and on both routes subscriptions auto-renew at the start of each billing cycle unless cancelled before renewal.

The free trial belongs to your Botvee account, not to Shopify. The 7 days start when you register and run down whether or not you have connected a store — Shopify does not grant a second trial. If you subscribe while days remain, the remaining days carry across and billing starts after them; if the trial is already spent, the charge starts at once.

If you switch from Stripe to Shopify billing — for example, you were already paying by card and then install the Shopify app — you are not charged twice. On an upgrade, Shopify charges immediately and your Stripe subscription is cancelled the moment you approve that charge, not before. On a downgrade, the Shopify subscription does not begin charging until the period you have already paid Stripe for would have renewed.

5.3 Failed payments

Failed payments may be retried over several days; if unresolved, the account may be suspended. Where you are billed through Shopify, a failed or declined charge is handled by Shopify's own retry and cancellation process.

5.4 Taxes

Applicable taxes are calculated and shown at checkout, before payment, based on your location. You are responsible for your own tax obligations. SaaS exports are subject to Pakistani tax and export laws in force at the time of service delivery.

5.5 Price changes

We may change prices on at least 30 days' prior notice to existing subscribers by email; changes take effect at your next renewal. Continued use after the effective date constitutes acceptance.

5.6 Plan changes

You may upgrade or downgrade from your dashboard, or — if you are billed through Shopify — from the Botvee app inside your Shopify admin. Upgrades take effect immediately; downgrades and cancellations take effect at the end of the current paid billing period. Refunds, where available, are governed by our Refund Policy.

Acceptable Use

Your use of the Service is subject to the AUP. Key restrictions include: no unlawful, fraudulent, or harmful use; no processing of End-User personal data without a lawful basis; no reverse engineering; no unsolicited bulk messaging (including compliance with the policies of any messaging platform you enable); and no resale of access without our written permission. Serious violations may result in immediate suspension or termination without refund, as described in the AUP.

AI Usage and Disclaimers

IMPORTANT AI DISCLOSURE

The Service uses a third-party AI provider. AI responses may be inaccurate, incomplete, outdated, or misleading. You are solely responsible for reviewing and validating AI-generated content and actions before relying on them, and for your agent's configured knowledge base.

  • Do not input highly sensitive personal data into AI agent conversations.
  • You must disclose to your End-Users that they are interacting with an automated AI system where required by law (for example, the EU AI Act, UK AI-regulation guidance, and California's Bolstering Online Transparency Act, SB-1001). This applies even if you remove Botvee branding.
  • Botvee is not liable for decisions made, or actions taken, by you or your End-Users in reliance on AI-generated output.

Your Responsibilities as Data Controller

When you deploy AI agents to collect End-User personal data, you are the data controller and Botvee is the data processor. You must: have a lawful basis for collecting and processing your End-Users' personal data; maintain your own compliant privacy notice disclosing Botvee as a processor and disclosing the integrations you enable (messaging platforms, Google, Shopify, courier providers, CRM tools, etc.); obtain any required consents; disclose AI interaction where required; handle your End-Users' data-subject requests (with Botvee's assistance under the DPA); and execute the DPA where you process EU/UK/Swiss personal data. You are responsible for any third-party endpoints (such as webhooks) and integrations you configure and for the data you route to them.

Intellectual Property

All platform software, AI configurations, algorithms, interfaces, design, branding, and documentation are and remain Botvee's exclusive property. Your subscription grants a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own business purposes for the duration of your subscription. You retain ownership of the content you upload and of your agent's outputs, and you grant Botvee a licence to host and process that content only as needed to provide the Service.

Third-Party Services

The Service integrates with third parties, including our AI provider (OpenAI), Stripe, our cloud infrastructure (Microsoft Azure, Supabase, Vercel), email (Resend), and — where you enable them — WhatsApp/Instagram/Messenger (Meta), Telegram, Google, Shopify, WordPress, and courier/delivery providers. Your use of any third-party service is at your own risk and subject to that third party's own terms and privacy policies. Botvee is not responsible for third-party downtime, API or policy changes, service withdrawals, or acts or omissions of third parties.

Service Availability and Force Majeure

11.1 Availability

We aim to keep the Service available and reliable, and for paid plans we target high monthly availability, excluding scheduled maintenance, third-party infrastructure outages, and force-majeure events. Except where an Enterprise customer has agreed a separate written service-level commitment with defined remedies, availability targets are goals, not guarantees, and do not by themselves create a right to compensation. Any service-credit remedy is as set out in the Refund Policy or an applicable Enterprise agreement.

11.2 Force majeure

Botvee is not liable for any delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics or pandemics, acts of government, third-party infrastructure or network failures, cyber-attacks on infrastructure providers, or national power or internet disruptions.

Warranties and Limitation of Liability

12.1 Limited warranty

During your paid subscription, we will provide the Service with reasonable skill and care and substantially as described in our published documentation. Except for this and any warranties that cannot be excluded by law, the Service and all AI-generated output are provided "as is" and "as available", and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.

12.2 Cap on liability

To the maximum extent permitted by law, Botvee's total aggregate liability arising out of or relating to the Service or these Terms, whether in contract, tort, or otherwise, shall not exceed the greater of (a) the total subscription fees you actually paid in the three (3) months before the event giving rise to the claim, or (b) USD 100.

12.3 Excluded losses

To the maximum extent permitted by law, Botvee shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business, however arising.

12.4 AI and third-party carve-out

Botvee is not liable for loss arising from inaccurate or unavailable AI output, from your reliance on such output, from your End-Users' actions, or from any third-party service or integration.

12.5 Non-excludable rights

Nothing here limits or excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable mandatory law, including consumer-protection law.

Indemnity

To the maximum extent permitted by law, you agree to indemnify and hold harmless Botvee and its officers, employees, and sub-processors from and against any claims, liabilities, damages, losses, and reasonable costs (including legal fees) arising out of or relating to: (a) your use of the Service; (b) your breach of these Terms or the AUP; (c) content you upload or your agent's configuration; (d) your handling of, or failure to obtain a lawful basis or required consents for, End-User personal data; (e) AI output your agent provides to your End-Users; or (f) your violation of any law or third-party right.

Dispute Resolution

14.1 Exclusive jurisdiction

Courts of Karachi, Sindh, Pakistan, subject to Section 14.3.

14.2 Pre-litigation process

Before litigation, the parties will attempt good-faith resolution: (1) written notice to legal@botvee.ai; (2) 30 days' good-faith negotiation; (3) if unresolved, 30 days' mediation before a mutually agreed neutral mediator; (4) failing which, litigation in the courts of Karachi, Sindh, Pakistan.

14.3 Consumer rights

Consumers retain mandatory statutory rights under their local law (for example, EU/UK consumer-protection law and Pakistan's Consumer Protection Act, 2019 and applicable provincial legislation). These are in addition to, and not overridden by, the jurisdiction clause for commercial disputes.

14.4 Governing laws

Companies Act, 2017; Contract Act, 1872; ETO 2002; PECA 2016; Sale of Goods Act, 1930; Income Tax Ordinance, 2001; and applicable consumer-protection legislation.

Suspension and Termination

You may cancel at any time via your dashboard or by emailing support@botvee.ai; cancellation takes effect at the end of the current paid billing period.

Suspension while we investigate. Where we have reasonable grounds to suspect fraud, illegal use, a serious breach of the AUP, or a compromised or under-age account, we may suspend the account immediately while we look into it — before the suspicion is confirmed, because waiting for proof is what lets the harm happen. A suspension pauses the Service; it is not by itself a finding against you, and if the concern is not made out the account is restored. We will tell you it has been suspended and you may respond.

Termination without refund. We may terminate immediately, and no refund is given and the remaining paid period is forfeited, if you materially breach these Terms or the AUP, engage in fraudulent or illegal activity, or fail to pay after 14 days' written notice. This is set out again in the Refund Policy.

On termination, the licence in Section 9 ends; data handling on termination is described in the Privacy Policy and, for processor data, the DPA. Sections that by their nature survive (including IP, limitation of liability, indemnity, and dispute resolution) survive termination.

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email with at least 14 days' notice. Continued use after the effective date constitutes acceptance, to the extent permitted by law.

General

If any provision is unenforceable, the remainder remains in effect and the provision is limited to the minimum extent necessary. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or successor. These Terms, with the policies referenced in them, are the entire agreement regarding the Service.
